Terms & Conditions

These terms form a binding agreement between you and DigiProp and govern your access to and use of the DigiProp application and services. Please read them carefully.

1 Acceptance of these terms

These Terms & Conditions (“Terms”) are a legal agreement between you (“you”, “your”) and DigiProp (“DigiProp”, “we”, “us”, “our”) governing your access to and use of the DigiProp mobile application, websites and related services (collectively, the “Service”).

By downloading, installing, registering for or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a company, firm or other organisation, you represent that you have the authority to bind that entity, and “you” refers to that entity.

2 Eligibility

To use the Service, you must:

  • be at least 18 years of age and capable of forming a binding contract;
  • be a real estate professional — a broker, agent, agency, builder, developer, or an employee or authorised representative of one;
  • hold any licence or registration (including RERA registration, where applicable) required by law for your real estate activities; and
  • not be barred from using the Service under the laws of India or any other applicable jurisdiction.

The Service is intended for business use by real estate professionals. It is not a consumer property-search or property-listing marketplace.

3 The Service

DigiProp provides a customer relationship management platform for real estate sales. Depending on your plan and configuration, the Service may include:

  • lead capture, assignment, tracking and follow-up management;
  • an inventory of projects, properties, land and plots with associated media and documents;
  • call logging, activity records, reminders and site-visit tracking;
  • sales dashboards, reports and analytics;
  • team, role and permission management for organisations;
  • marketing tools including generated property creatives and shareable listing links; and
  • integrations that deliver enquiries from external sources into your account.

DigiProp is a software tool, not a party to your transactions. We do not broker, sell, market, value or guarantee any property, project, land or plot. We are not a real estate agent, and we do not participate in, verify or guarantee any transaction between you and your clients. All commercial dealings and their outcomes are solely between you and the parties concerned.

4 Accounts and security

  • Registration requires a valid mobile number, verified by one-time password (OTP). You must provide accurate, current and complete information and keep it updated.
  • You are responsible for all activity that occurs under your account, and for maintaining control of the mobile number and device associated with it.
  • You must not share your account, transfer it, or allow anyone else to access the Service through your credentials.
  • Notify us immediately at support@digiprop.in if you suspect unauthorised access to your account.
  • We may limit an account to a single active device at a time as a security measure.

5 Organisations and team members

The Service supports organisations with multiple team members and role-based permissions.

  • Organisation ownership: data created within an organisation — including leads, listings and activity records — belongs to that organisation, not to the individual member who created it.
  • Administrator control: organisation administrators can invite and remove members, assign roles and permissions, reassign leads, and access data created by members within the organisation. If you join an organisation, you acknowledge and accept this level of visibility and control.
  • Leaving an organisation: if your membership ends, you lose access to that organisation's data, which remains with the organisation.
  • Administrator responsibility: organisation administrators are responsible for their members' compliance with these Terms and for the lawfulness of data their organisation collects and processes.

6 Your content and lead data

Ownership

You retain all rights to the content you submit to the Service, including your listings, media, documents, notes and the personal information of your leads and clients (“Your Content”). We claim no ownership over it.

Licence you grant us

You grant DigiProp a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display and process Your Content solely to the extent necessary to operate, secure, maintain and provide the Service to you, and to comply with law. This licence ends when you delete Your Content or your account, subject to the retention periods in our Privacy Policy.

Your responsibilities regarding lead data

You are solely responsible for the personal data of your leads and clients that you store in DigiProp. You represent and warrant that:

  • you have a lawful basis, and any consent required by applicable law, to collect, store and process that data;
  • you will use it only for legitimate business purposes connected with your real estate activity;
  • you will comply with all applicable data protection and privacy laws, including India's Digital Personal Data Protection Act, 2023; and
  • you will honour requests from those individuals regarding their personal data.

Accuracy of listings

You are responsible for the accuracy, legality and completeness of every listing, price, dimension, approval status, image and claim you publish or share through the Service. You must not misrepresent any property, and you must comply with RERA and all other applicable real estate advertising and disclosure requirements.

7 Acceptable use

You agree that you will not:

  • use the Service for any unlawful, fraudulent or deceptive purpose;
  • upload, store or share content that is false, misleading, defamatory, obscene, infringing or otherwise unlawful;
  • list properties you have no right or authority to market, or misrepresent a property's status, approvals, pricing or ownership;
  • send unsolicited bulk messages, spam, or communications that violate telecom or anti-spam regulations, including DND/TRAI requirements in India;
  • upload personal data obtained unlawfully, purchased from unauthorised sources, or scraped without consent;
  • attempt to gain unauthorised access to the Service, other accounts, or our systems and infrastructure;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where such restriction is prohibited by law;
  • copy, resell, sublicense, rent or lease the Service, or use it to build a competing product;
  • use bots, scrapers or automated means to access the Service or extract data at scale;
  • circumvent usage limits, security measures, app integrity checks, or access controls; or
  • interfere with, disrupt or place unreasonable load on the Service or its infrastructure.

We may investigate suspected violations and take any action we consider appropriate, including removing content, suspending or terminating accounts, and reporting to law enforcement.

8 Communications and consent

  • Transactional messages: by registering, you consent to receive service-related communications from us — OTPs, lead alerts, reminders, security notices and important updates — by SMS, push notification, email or in-app message. These are necessary to the Service and cannot be opted out of while your account is active.
  • Promotional messages: we may send product news and offers. You may opt out of these at any time without affecting your use of the Service.
  • Your outbound communications: when you use the Service to contact your leads — by call, SMS, WhatsApp or shared link — you are solely responsible for complying with all applicable telecom, anti-spam and consent regulations. DigiProp is not responsible for communications you initiate.

9 Device permissions

Certain features require permissions on your device, such as phone/call log, contacts, camera, photos, location and notifications. These permissions are optional, are requested only when a feature needs them, and can be revoked at any time in your device settings. Declining a permission disables only the dependent feature.

Where you enable call-log access, call records are used solely to provide in-app CRM call tracking and caller identification within your own account, as described in our Privacy Policy. This data is never sold or shared with advertisers.

10 Plans, fees and billing

  • The Service may be offered on free and paid plans. Features, usage limits and pricing applicable to each plan are presented at the time of purchase or in the app.
  • Paid subscriptions renew automatically for the same period unless cancelled before the end of the current term.
  • Where a subscription is purchased through the Apple App Store or Google Play, billing, renewal, cancellation and refunds are handled by that store under its own terms and policies. Manage or cancel such subscriptions in your store account settings.
  • Except where required by law or by the applicable app store's policy, fees are non-refundable and unused portions of a term are not refunded.
  • Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, including GST.
  • We may change pricing or plan features on reasonable prior notice. Changes take effect at your next renewal.
  • If payment fails or an account is overdue, we may suspend or downgrade access to paid features.

11 Intellectual property

The Service — including its software, source code, design, user interface, features, text, graphics, logos and the “DigiProp” name and marks — is owned by DigiProp and its licensors and is protected by copyright, trademark and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the application on devices you own or control, for your internal business purposes. All rights not expressly granted are reserved.

You must not remove, obscure or alter any proprietary notices, or use our trademarks without our prior written permission.

Feedback

If you send us suggestions or feedback, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use and incorporate it into the Service without obligation or compensation to you.

12 Third-party services and integrations

The Service integrates with third-party platforms and providers — including cloud infrastructure, messaging providers, listing portals and advertising platforms. Your use of those services is governed by their own terms and privacy policies.

We do not control third-party services and are not responsible for their availability, accuracy, performance, security or content. If a third-party service changes, restricts or discontinues its integration, the related functionality in DigiProp may be affected or removed, and we will not be liable for that.

13 Availability and changes to the Service

  • We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Access may be affected by maintenance, updates, network conditions or events beyond our control.
  • We may add, modify, suspend or discontinue features at any time. Where a change is material and adverse, we will give reasonable notice where practicable.
  • You are responsible for your own internet connectivity, device compatibility and keeping the app updated. We may require you to install updates to continue using the Service.
  • Offline functionality depends on your device, and data created offline syncs when connectivity is restored. You should maintain your own backups of business-critical information.

14 Suspension and termination

By you

You may stop using the Service at any time, and may request deletion of your account and data through our Account & Data Deletion page or by emailing support@digiprop.in.

By us

We may suspend or terminate your access, with or without notice, if:

  • you breach these Terms or our policies;
  • we reasonably suspect fraudulent, unlawful, abusive or harmful activity;
  • required by law or a competent authority; or
  • your account is inactive for an extended period, or fees remain unpaid.

Effect of termination

On termination, your licence to use the Service ends immediately and your access to your data through the Service ceases. We will handle deletion in accordance with our Privacy Policy. Provisions that by their nature should survive — including sections on Your Content, intellectual property, disclaimers, limitation of liability, indemnity and governing law — survive termination.

You agree to indemnify, defend and hold harmless DigiProp and its directors, employees, agents and suppliers from and against any claims, demands, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:

  • your use or misuse of the Service;
  • Your Content, including the personal data of leads and clients you store or process;
  • your listings, advertisements, representations or dealings with any client, buyer or third party;
  • your breach of these Terms or of any applicable law, including data protection, telecom, consumer protection and RERA requirements; or
  • your infringement of any third party's rights.

18 Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to the arbitration provision below, the courts at [Insert City], [Insert State], India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

Informal resolution first

Before commencing formal proceedings, please contact us at support@digiprop.in. We will make a good-faith effort to resolve the matter within 30 days.

Arbitration

If a dispute remains unresolved, it shall be referred to and finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by DigiProp. The seat and venue of arbitration shall be [Insert City], India, and the proceedings shall be conducted in English. The arbitral award shall be final and binding.

19 App store terms

If you obtain the application from the Apple App Store or Google Play, the following additional terms apply.

Apple App Store

  • These Terms are between you and DigiProp only, not with Apple. Apple is not responsible for the application or its content.
  • Apple has no obligation to provide any maintenance or support for the application.
  • If the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
  • Apple is not responsible for addressing any claim by you or a third party relating to the application, including product liability, legal or regulatory non-compliance, or consumer protection claims.
  • Apple is not responsible for investigating, defending, settling or discharging any third-party intellectual property infringement claim relating to the application.
  • You represent that you are not located in a country subject to a US Government embargo or designated as “terrorist supporting”, and that you are not on any US Government restricted-parties list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Google Play

Your use of the application obtained through Google Play is additionally subject to the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the application.

20 General

  • Changes to these Terms: we may update these Terms from time to time. We will update the “Last updated” date and, for material changes, notify you in the app, by email or by SMS. Continued use after changes take effect constitutes acceptance.
  • Entire agreement: these Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and DigiProp regarding the Service.
  • Severability: if any provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions remain in full force.
  • No waiver: our failure to enforce any right or provision is not a waiver of it.
  • Assignment: you may not assign or transfer these Terms without our prior written consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • Force majeure: we are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, civil unrest, network or power failures, or acts of government.
  • Relationship: nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and DigiProp.
  • Language: these Terms are drafted in English. Any translation is provided for convenience; the English version prevails.
